5. Client Responsibilities

Clients are responsible for:

• Complying with all applicable laws and regulations
• Timely payment of agreed fees

6. Payment Terms

6.1 Pricing

Service pricing is determined based on the scope of work, complexity, and duration of services. All prices are quoted in Euros (EUR) unless otherwise specified.

6.2 Payment Schedule

Payment terms are typically 30 days from invoice date unless otherwise agreed. Late payments may incur interest charges of 1.5% per month or the maximum allowed by law.

6.3 Dispute Resolution

Any billing disputes must be raised within 30 days of the invoice date. We will work to resolve disputes promptly and fairly.

To the maximum extent permitted by law, AgentBro Technologies OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or business interruption.

11. Termination

11.1 Termination by Client

Clients may terminate services with 30 days written notice. Clients remain liable for all services rendered up to the termination date.

11.2 Termination by Company

We may terminate services immediately for material breach of contract, non-payment, or violation of terms and conditions.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, or government actions.

13. Governing Law and Jurisdiction

These terms and conditions are governed by Estonian law. Any disputes shall be resolved in the courts of Estonia, with jurisdiction in Tallinn.
